Referral Program Terms and Conditions

Capchase Inc. (“Capchase” or “we”) offers you the opportunity to participate in our referral program (the “Program”) to earn a cash reward by referring companies to use the financing product available through our online platform (the “Platform”). These terms and conditions (these “Terms”) apply to your participation in the Program. By making any Referral (defined below) you will be deemed to have accepted and be bound by these Terms. We can modify these Terms by providing an updated version at any time; by continuing to participate in the Program after any modification you will be deemed to have accepted such modification.
Eligibility
To be eligible to participate in the Program you must be a natural person who is at least 18 years old.
How it Works
You will refer companies to the Platform (a “Referral”) either using the referral link Capchase has provided on the Platform (the “Referral Link”) or an email copying Capchase. A Referral will be a company that meets the criteria we have set for customers.
A Referral will become a “Converted Referral” if (a) the Referral company is eligible for financing pursuant to Capchase requirements, and (b) signs a binding agreement with us for financing within six (6) months after you have provided such Referral with the Referral Link and (c) makes a funding draw, as detailed below, occurs under such agreement within six (6) months of you providing such Referral Link.
Within fourteen (14) business days after your Referral becomes a Converted Referral, we will notify you. You will receive a payment of:
- US$1,000 if your Referral enters into the Capchase Master Cashflow Agreement (the “Grow Agreement”) and makes a minimum draw of US$50,000 (a “Grow Draw”).
- US$2,500 if your Referral enters into the Capchase Pay Partner Agreement (the “Pay Agreement”) and finances a buyer under such Agreement (a “Pay Draw”).
- US$2,500 if your Referral enters into both the Pay Agreement and Grow Agreement and both a Pay Draw and Grow Draw are completed.
The payments (the “Reward”) will be made into the account you previously identified within 30 business days after your referral becomes a Converted Referral. The Reward will only apply to companies that sign a binding financing agreement with Capchase for its products, as detailed above.
Additional Terms
We reserve the right to terminate the Program at any time and for any reason by providing you notice or deactivating the Referral Link.
You may only send your Referral Link to companies with which you have a personal relationship. You may not refer yourself or your employer nor may you use paid search marketing, advertisements, affiliate networks or other similar methods.
The Reward may qualify as taxable income for you, and you are responsible for all taxes that result from your receipt of the Reward. We are not obligated to report federal and state taxes to taxing authorities but may do so.
We reserve the right to not pay or to cancel any Reward if we believe your participation in the Program has violated these Terms or any applicable law or if we believe your participation in the Program has been abusive, unethical or fraudulent.
Nothing in this Agreement makes you an agent or partner of Capchase, or provides you with any right, power or authority to act or create any obligation, express or implied on behalf of Capchase or to represent you have any such authority.
The Platform is provided on an as is and as available basis.
WE DO NOT MAKE ANY WARRANTIES OF ANY KIND, WHETHER EXPRESSED OR IMPLIED, BY STATUTE, COMMON LAW OR CUSTOM, INCLUDING, BUT NOT LIMITED TO WARRANTIES AS TO THE PLATFORM OR ITS OPERATION, OR PRODUCTS OR SERVICES OFFERED THROUGH THE PLATFORM, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ALL WARRANTIES EXPRESS OR IMPLIED (INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF NON-INFRINGEMENT) ARE EXPRESSLY EXCLUDED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
These Terms constitute the entire agreement between you and us with respect to the Program. No other agreements will apply unless they are in writing and explicitly reference and amend these Terms. Except where prohibited, any disputes, claims and causes of action arising out of or related to these Terms, the Program or any Reward shall be resolved under New York law (without reference to its conflicts of laws principles), and you agree to submit any dispute to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
